1. Scope of Application
1.1 neurapix GmbH (“Neurapix”) offers a service for the digital post-processing of photographs. The offering is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (§ 14 BGB) who use the service in the exercise of their commercial or self-employed professional activity, as well as at legal entities under public law. No contract is concluded with consumers (§ 13 BGB). These terms and conditions apply to all image editing performed by Neurapix, irrespective of the channel through which the order is processed — in particular via the website provided by Neurapix, the Neurapix portal, a computer program, a plugin for third-party software, or one of the Direct Transfers governed by Clause 5.
1.2 These terms and conditions alone shall govern the editing services performed by Neurapix. Deviating or conflicting terms and conditions of the User shall not become part of the contract, even if Neurapix does not expressly object to them.
1.3 A consumer within the meaning of these terms and conditions is any natural person who concludes the contract for purposes that are predominantly attributable neither to their commercial nor to their self-employed professional activity (§ 13 BGB). An entrepreneur is anyone who, at the time of conclusion, acts in the exercise of their commercial or self-employed professional activity (§ 14 BGB).
2. Description of Services
2.1 The offering of Neurapix is directed at photographers who wish to post-process their photos quickly and consistently in individual styles. For this purpose, Neurapix creates individual editing profiles (“SmartPreset”) using artificial intelligence algorithms, which make it possible to edit photos in accordance with a photographer’s individual style. The SmartPresets are stored by Neurapix. The editing of the images takes place either server-side on Neurapix’s hardware resources or — in accordance with Clause 2.4 — locally on the User’s computer. Data transmission and account administration take place across all channels via apps, plugins and websites provided by Neurapix.
2.2 The provision of services by Neurapix is divided into two steps. The first step consists of the creation of individual SmartPresets. For this purpose, the User submits a number of photos, to be agreed upon, that have been edited in the User’s individual style. From these images, Neurapix creates a SmartPreset that is capable of transferring the User’s editing style to other photos. The creation is free of charge. The User’s individual style is — subject to deviating agreements between Neurapix and the User — used exclusively for the editing performed for the respective User. The individual SmartPresets are stored by Neurapix. Neurapix reserves the right to delete SmartPresets if they have not been used for 12 months; Neurapix will inform the User of such deletion in advance in text form (e.g. e-mail) and grant the User a reasonable period for continued use.
2.3 The individual SmartPreset is continuously developed further by Neurapix on the basis of the User’s feedback (acceptance of the images, post-editing) and further adapted to the User’s needs. This process is likewise free of charge.
2.4 The second service step consists of the use of the individual SmartPresets for the automated editing of unedited photos. The User submits unedited photos to Neurapix via one of the channels specified in Clause 4 and Clause 5. The User then selects whether the submitted images are to be edited on the basis of the User’s individual SmartPreset or on the basis of other styles offered by Neurapix. Neurapix edits the submitted photos in the selected style and subsequently returns the edited photos to the User via the transfer channels used. Alternatively, as part of Neurapix Unlimited (Clause 7), Neurapix offers local execution of the editing on the User’s computer; for this purpose, Neurapix temporarily provides the User with a processing component and the respective SmartPreset via the plugin. Local execution requires a supported system; not every SmartPreset is available for local editing on the User’s computer. The scope included in the editing is described or selected when the editing is commissioned. The editing is subject to a charge in accordance with Clauses 6 and 7; the User will be informed of the applicable billing method (individual (per-image) billing for server-side editing, Neurapix Unlimited for local editing on the User’s computer) before the editing begins.
2.5 For each of the service steps, Neurapix provides the User with guidelines setting out the file formats and transfer details for the image files to be submitted in each case.
2.6 The editing is performed in an automated manner. Neurapix does not owe any specific artistic or editorial design and no specific editing result in any individual case. The User remains obliged to review the results before any commercial use (Clause 12.3).
3. Conclusion of Contract and Registration
3.1 In order to make use of Neurapix’s services, it is necessary for the User to register on the Neurapix internet portal. The contract between Neurapix and the User is concluded upon the subsequent sending of a registration confirmation by e-mail to the e-mail address provided by the User. The User incurs no costs as a result of registration.
3.2 Under this contract, the paid commissioning of individual editing services takes place by sending the image files to be edited. The conclusion of a Neurapix Unlimited plan takes place via the Neurapix internet portal; details are governed by Clause 7.
3.3 The registration of a legal entity may only be carried out by a natural person authorized to represent it. The User must have unlimited legal capacity.
3.4 By registering, the User confirms that they are concluding the contract in the exercise of their commercial or self-employed professional activity. Neurapix may require the submission of suitable evidence (e.g. VAT identification number, business registration, commercial register extract) and may defer services until such evidence is provided.
4. Transmission Channels and Availability
4.1 Neurapix offers several channels through which Users can make use of Neurapix’s service. Account administration takes place via a website provided by Neurapix for this purpose. The upload of the image files required for the creation of the SmartPreset and the submission of the images to be edited take place via the Neurapix plugin, via the website, or via one of the Direct Transfers governed by Clause 5. The file formats required in each case are set out in the guidelines provided by Neurapix.
4.2 The editing and provision of the edited images by Neurapix take place immediately after transmission to Neurapix.
4.3 Neurapix keeps the edited image files available for retrieval for a period of 48 hours. Preview images (JPEG) generated for download in the dashboard are retained for up to 7 days. No further archiving of the edited image files takes place at Neurapix. Excepted from this are image files that are required for the creation and improvement of the SmartPresets pursuant to Clauses 2.2 and 2.3.
4.4 Neurapix stores the image files submitted for the purpose of SmartPreset creation, as well as individual image files subsequently submitted that are necessary for the continuous improvement of the individual SmartPresets, for the duration of this contractual relationship.
4.5 Neurapix will make reasonable efforts to ensure that the service is available and functional, but does not owe any specific availability or uninterrupted or error-free access. Where possible, Neurapix will announce maintenance work in advance and schedule it during periods of low usage.
5. Direct Transfer (Instant Processing)
5.1 Overview. In addition to transmission via plugin and website, Neurapix offers Direct Transfers, in which image files are automatically retrieved from a source connected by the User and automatically delivered after editing. Use of Direct Transfer is optional and requires that the User set up the respective connection in their account settings and grant the permissions described there. Clauses 2, 4, 6 and 7 apply accordingly to image files submitted via Direct Transfer.
5.2 Google Drive. The User may connect their Google Drive account and select folders to be monitored by Neurapix. New image files in a selected folder are automatically retrieved for editing. For this purpose, the User grants Neurapix read-only access to their Google Drive; Neurapix can neither modify nor delete content in the User’s Google Drive.
5.3 Frame.io. The User may submit image files by uploading them to a Frame.io project or a connected folder linked to Neurapix. Neurapix retrieves newly uploaded image files for editing via the Frame.io API. If the User activates the optional setting “Delete after import”, Neurapix deletes the source file in the User’s Frame.io project after successful import; in this case, responsibility for the User’s own backup of the source files remains with the User.
5.4 FTP Upload. Upon request, Neurapix provides the User with personal access credentials for an FTP server operated by Neurapix, to which image files can be transmitted directly from a camera or from a computer. The server supports encrypted transmission (explicit FTPS/AUTH TLS). Since not all camera models are capable of encrypted transmission, unencrypted connections are also accepted. Neurapix expressly points out that, with an unencrypted FTP connection, both the access credentials and the transmitted image files are transmitted unencrypted over the internet. The User decides on the choice of transmission mode at their own responsibility and is expected to use encrypted transmission wherever their device supports it. A storage quota per account applies to FTP access, which Neurapix indicates in the portal. Uploaded image files are deleted no later than 48 hours after successful import of the results; files that cannot be processed are deleted after 7 days.
5.5 Delivery to the Adobe Lightroom Catalog. The User may connect their Adobe Lightroom account so that Neurapix writes the edited image files and the associated albums directly into the User’s Lightroom catalog. Neurapix uses the access granted exclusively for this purpose and does not access any other content of the User’s Adobe account.
5.6 Common Provisions. The following applies to all Direct Transfers:
a) The User shall ensure that they are entitled to submit the image files located in the connected sources to Neurapix and to have them edited by Neurapix. This applies in particular to folders into which third parties can place files.
b) The User shall keep the access credentials provided to them confidential and protect them against access by unauthorized persons. The User shall inform Neurapix without undue delay if there are indications of unauthorized use.
c) The User may revoke any connection at any time in their Neurapix account settings or with the respective provider. After revocation, no further files will be retrieved or delivered.
d) Direct Transfer requires the availability of the interfaces of the respective third-party providers. Neurapix has no influence on their availability, scope of functions or changes, and is not liable for disruptions originating from the third-party provider’s sphere of responsibility. If a third-party provider changes or discontinues its interface, Neurapix may adapt or discontinue the affected Direct Transfer; Neurapix will inform the User thereof in text form (e.g. e-mail).
e) Image files received via a Direct Transfer are deemed to have been submitted for paid editing. The User is responsible for configuring the monitored folders and connections in such a way that no unintended editing is triggered.
6. Prices and Payment Procedure
6.1 The editing of image files by Neurapix is subject to a charge. In the case of individual (per-image) processing, the claim to remuneration arises upon the transmission of the image files to be edited to Neurapix and the provision of the edited image files by Neurapix. In the case of the booking of Neurapix Unlimited, the claim to remuneration arises upon completion of the booking via the Neurapix internet portal.
6.2 In the case of individual (per-image) processing, remuneration is charged on a tiered basis in the amount of a fixed sum for each image file edited by Neurapix. The current prices can be viewed on the Neurapix website. The prices for booking Neurapix Unlimited can be viewed during the booking process in the internet portal.
6.3 Neurapix provides the User with a credit account (“free images”). Each credit entitles the User to the editing of one image file without Neurapix invoicing it. Credits may be acquired through special promotions, referral programs or by way of reimbursements. In the case of a chargeable invoice, Neurapix will first draw on the User’s credit account before submitted image files are invoiced. The User can view the balance of their credit account in their login area. Credits are not redeemable for cash and are not transferable.
6.4 For each month in which the User carries out paid editing, Neurapix prepares a statement and makes it available to the User by e-mail after the end of the billing month. For this purpose, the User must provide their current e-mail address upon registration and ensure that e-mail receipt is not prevented by technical blocks (spam filters). Unless otherwise agreed, invoices become due upon their transmission and are payable within 14 days of receipt of the invoice. The User agrees that invoices will be sent by e-mail.
6.5 Payment processing is handled via the payment service provider Stripe. The available payment methods are indicated during the booking or payment process. In the case of payment by SEPA direct debit, the period for the pre-notification is shortened to three banking days before the debit; the pre-notification is provided with the transmission of the invoice or the payment notification by e-mail.
6.6 In the event of price changes or new pricing models, Neurapix will inform the User on the website and by e-mail. For a current Unlimited plan, Clause 7.7 applies.
6.7 All prices are exclusive of the applicable statutory value added tax.
7. Neurapix Unlimited
7.1 Scope of Application. This Clause governs the Unlimited payment model offered by Neurapix. It supplements the other provisions of this contract. In the event of conflicts between this Clause 7 and the other provisions, the provisions of this Clause 7 shall prevail for Neurapix Unlimited.
7.2 Options. Neurapix offers two Unlimited options: a monthly cancellable plan and an annually cancellable plan. During the Unlimited period, both options grant the User access to unlimited local image editing on the User’s own computer (Clause 2.4) in accordance with Clause 7.5. Server-side editing is not included in Neurapix Unlimited and is billed at the prices for individual (per-image) processing (Clause 6.2); the User is informed of this in the plugin before server-side editing begins. The prices for both options can be viewed during the purchase process on the Neurapix platform.
7.3 Activation and Payment. After creating an account on the Neurapix platform, the User can activate an Unlimited subscription. The monthly plan is billed monthly. Under the annual plan, payment is made annually. The commitment period for the annual plan is one year.
7.4 Term, Cancellation and Renewal. The User may cancel Neurapix Unlimited at any time by completing the cancellation process in their customer account. Neurapix provides a cancellation function in the customer account. The cancellation must be made no later than one day before the end of the current Unlimited period. After cancellation, the subscription remains active until the end of the current Unlimited period; access to the service ends upon its expiry. If the User does not cancel within the cancellation period, Neurapix Unlimited is automatically renewed for a further period of one month for the monthly plan and one year for the annual plan.
7.5 Fair Use. Neurapix reserves the right to impose restrictions on image editing in order to ensure fair use and to maintain the quality of the service for all Users. If a User’s usage appears excessive, Neurapix will contact the User to discuss options for reducing usage. If the User does not take appropriate measures within a reasonable period, Neurapix may restrict or suspend access to the service.
7.6 Workstations. A purchased single license entitles the User to set up Neurapix Unlimited (including the local processing component pursuant to Clause 2.4) on a maximum of two individual workstations, whereby simultaneous use on more than one workstation is not permitted. More extensive use requires the purchase of additional licenses.
7.7 Price Changes. Neurapix may change the prices for its Unlimited plan. Users will be informed of any price changes before the renewal of their Unlimited period. The new pricing takes effect on the next renewal date. If the User does not agree to the price change, the User may cancel their Unlimited plan effective as of the end of the current period.
7.8 Free Images and Reimbursement. Neurapix offers new customers a specified quota of free images with which the service can be tested free of charge. After using the free images, the User has the choice of whether to use the service under the Pay-per-Picture model or the Unlimited model; a switch is possible at any time. There is no entitlement to reimbursement of Unlimited fees already paid.
8. Obligations of the User
8.1 The User shall ensure that the master data and payment data provided by them are complete and correct. If the master data changes, the User shall update it in their online account.
8.2 The User shall keep their login credentials confidential and protect them against unauthorized access by unauthorized third parties.
8.3 The User undertakes to refrain from all measures that could endanger or disrupt the functioning of Neurapix’s systems. The User further undertakes to refrain from any attempts to access data to which they are not authorized to have access.
8.4 The User shall ensure that they hold the necessary rights to the submitted image files and that the submission and editing do not infringe any third-party rights.
7.5 Fair Use. Neurapix reserves the right to impose restrictions on image editing in order to ensure fair use and to maintain the quality of the service for all Users. If a User’s usage appears excessive, Neurapix will contact the User to discuss options for reducing usage. If the User does not take appropriate measures within a reasonable period, Neurapix may restrict or suspend access to the service.
9. Copyright and Rights of Use
9.1 The User holds the sole copyright and rights of use in the image files submitted by them as well as in the edited image files. Neurapix will not use the image files for purposes other than the performance of this contract without the User’s consent.
9.2 The sole copyright and rights of use in the SmartPresets created on the basis of the User’s image files lie with Neurapix. Neurapix is at no time obliged to release SmartPresets to the User.
9.3 Neurapix is at no time entitled to make the individual style created on the basis of the User’s submitted image files available to third-party users for their editing, unless the User has consented to such use.
10. Data Protection and Data Security
10.1 Since the submitted photographs may contain personal data, the parties conclude a data processing agreement in addition to this contract. This exists independently of this contract; details on data security are set out in the data processing agreement.
10.2 The processing of personal data of the User themselves is governed by the Neurapix privacy policy.
10.3 Neurapix stores image files that the User sends for the purpose of editing in accordance with Clauses 4.3 and 4.4 and exclusively for the purpose of editing for the User.
10.4 Neurapix does not release to the User the image files stored for the purpose of SmartPreset creation or the individual SmartPresets. If the image files and the individual SmartPresets are no longer required for the purposes described above, they are permanently deleted.
11. Support
11.1 Neurapix offers technical support and maintenance for the service. Support may be provided via e-mail, live chat or other communication channels at Neurapix’s discretion.
12. Liability
12.1 Neurapix is liable without limitation in the event of injury to life, body or health, in the event of intent and gross negligence, in the event of fraudulent concealment or the assumption of a guarantee, as well as in cases in which liability is mandatorily prescribed by law. In the event of a slightly negligent breach of an obligation whose breach endangers the achievement of the purpose of the contract, or whose fulfilment is a prerequisite for the proper performance of the contract in the first place and on whose observance the User was entitled to rely, liability is limited to foreseeable damage typical for this type of contract. In all other respects, liability is excluded.
12.2 Without prejudice to Clause 12.1, Neurapix is not liable for damage resulting from an exceedance of the provision times specified in Clause 4, nor for failures or delays due to events beyond Neurapix’s control (force majeure, natural disasters, war, terrorism, industrial disputes, embargoes or comparable events).
12.3 Without prejudice to Clause 12.1, Neurapix is not liable for damage incurred by the User due to insufficient image quality. It is incumbent on the User to check the edited images with regard to individual quality requirements before using them commercially.
13. Entrepreneur Status; No Right of Withdrawal
13.1 The conclusion of the contract is open exclusively to entrepreneurs within the meaning of § 14 BGB (Clause 1.1). Upon registration and upon each paid conclusion, the User confirms that they are acting in the exercise of their commercial or self-employed professional activity. There is therefore no statutory right of withdrawal for consumers.
13.2 If the User falsely declares their entrepreneur status, they cannot, in accordance with the principles of good faith, invoke rights reserved for consumers vis-à-vis Neurapix.
14. Term, Termination and Suspension
14.1 The term of this contract is not limited in time. For Neurapix Unlimited, Clause 7.4 applies in addition.
14.2 This contract may be terminated by either contracting party at any time. Termination is effected in text form (e.g. e-mail, letter) or via the cancellation function provided in the customer account.
14.3 Neurapix may suspend a User’s access or terminate the contract for good cause if the User materially violates these terms and conditions or applicable law. Where possible, Neurapix will hear the User before a suspension and give them the opportunity to remedy the situation, insofar as this is reasonable under the circumstances.
14.4 The stored image files of the User as well as the individual SmartPresets are deleted within 14 days after termination of the contractual relationship.
15. Amendments to These Terms and Conditions
15.1 Neurapix may amend these terms and conditions if this is necessary due to a change in the legal situation, a decision of a supreme court, a change in the range of services or comparable objective reasons, and the User is not unreasonably disadvantaged thereby.
15.2 Neurapix will notify the User of the amended terms and conditions in text form (e.g. e-mail) at least six weeks before their planned entry into force, drawing attention to the amendments, the date of entry into force and the User’s right of objection and termination.
15.3 If the User does not object before the entry into force, the amendments are deemed accepted; if the User objects, the contract ends with effect as of the planned entry into force of the amendments, without the User suffering any disadvantages as a result.
16. Final Provisions
16.1 All legal disputes arising from or in connection with this contract shall be governed exclusively by German law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
16.2 The place of performance for all obligations of the contracting parties is — insofar as the User is a merchant within the meaning of the German Commercial Code (HGB) — the registered office of Neurapix.
16.3 The User may transfer their rights or obligations under this contract to a third party only with the prior consent of Neurapix. Neurapix may transfer its rights and obligations under this contract to a third party; in this case, Neurapix will inform the User thereof in text form (e.g. e-mail) and the User is entitled to withdraw from the contract.
16.4 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Göttingen, Germany, insofar as the User is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany. Neurapix remains entitled to bring an action against the User at the User’s general place of jurisdiction as well.
16.5 Should individual provisions of this contract be or become invalid or unenforceable, or become invalid or unenforceable after conclusion of the contract, the validity of the remainder of the contract shall remain unaffected. The invalid or unenforceable provision shall be replaced by the statutory provision.
16.6 The failure of Neurapix to enforce a right or provision of this contract shall not be deemed a waiver of that right or provision.
